Effective date: October 2, 2026 Last updated: October 2, 2026
These Terms of Service ("Terms") are a binding agreement between Bosque Technologies Inc. ("Bosque", "we", "us", or "our") and the organization or individual that creates a workspace or uses our services ("you" or "Customer"). They apply to the hosted Bosque service and to our website at https://bosque.cc (together, the "Service").
By creating an account, creating or joining a workspace, starting a trial, or using the Service, you agree to these Terms. If you are agreeing on behalf of an organization, you confirm that you have authority to bind it, and "you" means that organization. If you do not agree, do not use the Service.
1. What these Terms cover, and what they don't
The hosted Service. These Terms govern the Service that we host and operate.
Self-hosted Bosque. If you run Bosque on your own infrastructure, these Terms do not apply to that use. The software is licensed under the Elastic License 2.0 and the Licensing guide, and our Trademark Policy applies to the Bosque name and logo. Nothing in these Terms limits that license.
Related policies. These documents are part of the agreement and are incorporated by reference:
- the Acceptable Use Policy
- the Privacy Policy
- the Data Processing Addendum, which applies when we process personal data in your workspace for you
- the Subprocessors list
If they conflict, the order of priority is: the Data Processing Addendum (for personal data), then these Terms, then the Acceptable Use Policy, then the Privacy Policy.
2. Eligibility and accounts
The Service is offered only for business and professional use, not for personal, family, or household purposes. You must be at least 18 years old, or the age of majority where you live, and able to form a binding contract.
You must give accurate information and keep it up to date. You are responsible for all activity under your accounts and workspaces, and for keeping sign-in credentials secure. Sign-in is handled by our authentication provider, Clerk. Tell us promptly at hello@bosque.cc if you think an account has been compromised.
You may use the Service only through accounts assigned to individual authorized users. You must not share accounts or permit access by anyone whose access has been suspended or terminated. We may rely on instructions and actions taken through your accounts until you notify us of unauthorized access. You are responsible for charges and activity resulting from access you authorized or failed to secure, except to the extent caused by our breach of these Terms.
3. Workspaces, administrators, and users
A workspace is the space where your organization's content lives. The person who creates a workspace becomes its administrator. Administrators can control who has access and what the workspace contains.
You are responsible for:
- who you give access to, and what roles they hold
- your users' compliance with these Terms and our policies
- removing access when someone leaves your organization
Access to the workspace dashboard is currently limited to workspace administrators. We may change roles and permissions as the product develops.
4. Trials, plans, and payment
Free trial. A new workspace starts with a free trial of 14 days. No payment card is needed to start one. When the trial ends, the workspace becomes read-only until you subscribe: you can still view existing content, but you cannot create or change content or use AI features.
Plans. Paid plans are described on our pricing page, including the price and the number of users each plan allows. We may offer different plans over time.
Usage limits and fair use. Plans may include limits on users, storage, uploads, AI usage, integrations, requests, or other resources shown in the Service or at checkout. You must not evade those limits. If usage creates security risk, materially degrades the Service for others, or is substantially above the normal range for your plan, we may require you to reduce usage, move to an appropriate plan, or pay agreed overage charges. We will give advance notice where reasonably practicable, but may rate-limit immediately to protect the Service.
Subscriptions. A subscription starts when you choose a plan and complete checkout. It renews automatically for the same billing period (currently monthly) until you cancel. You authorize us and our payment processor, Stripe, to charge your payment method for each period, and for any taxes.
Taxes. Prices exclude taxes. You are responsible for sales, use, value-added, goods and services, and similar taxes, except for taxes on our income.
Failed payments. If a payment fails, we may retry it and notify you. If it remains unpaid, the workspace may become read-only until payment is resolved, and we may suspend or terminate the subscription under Section 14.
Changes to prices. We may change prices for future billing periods. We will give advance notice where required by law or otherwise reasonably practicable. A price change applies no earlier than your next renewal after it takes effect. If you do not agree, you can cancel before the renewal.
Cancellation. You can cancel at any time through the billing portal in your workspace settings, or by contacting us. Cancellation takes effect at the end of the current billing period. Access continues until then, and the workspace then becomes read-only.
No refunds. Except where the law requires otherwise or we state otherwise in writing, fees are non-refundable, and we do not give refunds or credits for partial billing periods, unused seats, or unused features.
Payment disputes. You must raise a good-faith billing dispute within 30 days after the charge and work with us to resolve it before initiating a chargeback. This does not limit rights that cannot lawfully be waived. You are responsible for reasonable collection costs for overdue undisputed amounts, to the extent the law allows.
5. Your content
What it is. "Customer Content" means everything you or your users submit to or create in the Service, including documents, files, articles, feedback, research recordings and notes, customer records, chat messages, and the personal data in them. It also includes information that comes from the integrations you connect.
You own it. As between you and us, you keep all rights in Customer Content. We do not acquire ownership of it.
License to us. You give us a worldwide, non-exclusive, royalty-free license to host, store, copy, process, transmit, display, and create derivatives of Customer Content only as needed to provide, secure, support, and improve the Service for you, and to comply with law. "Improve" does not include training AI models (see Section 6). The license lasts while we hold your content and ends when we delete it.
Your responsibilities. You are responsible for Customer Content. You promise that you have, and will keep, all rights, permissions, notices, and consents needed to submit it and let us process it as described in these Terms. This includes the personal data of your customers, research participants, and feedback submitters.
Personal data. For personal data inside your workspace, you decide why and how it is used and we process it for you. The Data Processing Addendum applies. You are responsible for your own legal obligations, including giving privacy notices and obtaining consent where needed.
Public links and portals. You can create public feedback portals and share roadmaps, plans, and Knowledge Base pages using links. Anyone with a link can see what it shows, and anyone using a feedback portal can submit information to you. You control these features, are responsible for what they expose and collect, and are responsible for any notice and consent that people using them need.
Removing content. You can delete Customer Content in the Service. Deleted content is removed from active systems promptly and from backups on the schedule in our Privacy Policy.
Copies and exports. The Service is not a substitute for your own records-retention or backup program. You are responsible for keeping copies of Customer Content you need and for exporting it before your access ends. We are not required to preserve Customer Content beyond the periods stated in these Terms or required by law.
De-identified data. We may create and use aggregated or de-identified information about operation and use of the Service to secure, maintain, analyze, and improve it, provided that it does not identify Customer, any user, or any other individual. We will not try to re-identify it.
6. AI features
The Service includes features powered by artificial intelligence, including an assistant that answers questions using your content, AI writing help, and summaries, themes, and digests. To provide them, we send relevant Customer Content and your prompts to third-party AI providers listed on our Subprocessors page.
No training on your content. We do not use Customer Content to train or fine-tune AI models, and we do not permit our AI providers to use it to train theirs, except as you direct.
Outputs can be wrong. AI output is generated automatically and can be inaccurate, incomplete, out of date, or misleading, even when it shows sources. You are responsible for reviewing outputs and checking sources before relying on them or acting on them. Don't use the Service as a substitute for professional advice, and don't use it to make decisions with legal or similarly significant effects on a person without human review.
Outputs may be similar. Different users may receive similar output. Output is not unique to you.
Ownership of outputs. As between you and us, and to the extent we have rights in it, we give you ownership of output generated from your content. We make no promise that outputs are free of third-party rights.
Web search. If you enable web search in the assistant, your query and related context are sent to the search-capable provider, and results come from public web sources we do not control.
Your input. You must have the right to put content into AI features and must follow the Acceptable Use Policy.
No reliance. AI features are tools, not people or professional advisers. You decide whether and how to use any output and bear the risk of doing so. You must independently evaluate output for accuracy, suitability, legality, and infringement before using or sharing it. We do not represent that any output is protectable by intellectual-property rights or eligible for registration.
7. Acceptable use and prohibited data
You must follow the Acceptable Use Policy. In particular, you must not:
- upload or submit protected health information or patient data, payment card data, government identification numbers, biometric data, or data about children, or other categories listed in that policy; the Service is not designed or certified to protect them
- reverse engineer, decompile, or attempt to extract the source code of the hosted Service, except to the extent that applicable law allows it despite this restriction (this does not limit your rights in the source code under the Elastic License 2.0)
- access the Service by automated means, other than our documented agent access (MCP) and integrations, or probe, scan, or test its security without our written permission
- resell, sublicense, or provide the Service to third parties, or use it to build a competing product or service
- interfere with or disrupt the Service, or bypass limits, such as plan limits and rate limits
- use the Service in breach of law or the rights of others
8. Third-party services and integrations
The Service connects to services run by others. Examples include authentication, Microsoft Teams, Google Drive, OneDrive, Notion, Confluence, and YouTube, as well as agent clients that you connect through our agent (MCP) access.
- You choose whether to connect them and you authorize what they can access.
- Your use of them is governed by their own terms. We do not control them and are not responsible for them.
- Their availability, security, data handling, and continued compatibility are outside our control. We may change or discontinue an integration if its provider changes or withdraws access.
- When you connect an integration, you authorize us to access and process the data it provides, according to the permissions you grant.
- You are responsible for tokens and credentials you issue, including agent access tokens. Keep them secret and revoke them if they are exposed.
9. Our property
The Service and software. We and our licensors own all rights in the Service, the software, the design, and the Bosque name, logo, and brand. The source code is available under the Elastic License 2.0, and that license, not these Terms, defines your rights in the source code.
Limited right to use the hosted Service. Subject to these Terms, we give you a limited, non-exclusive, non-transferable, revocable right to access and use the hosted Service for your internal business purposes during your subscription or trial.
Feedback. If you give us suggestions or feedback about the Service, we may use them without restriction or obligation to you. This does not apply to Customer Content.
Trademarks. You may not use our name, logo, or brand except as our Trademark Policy allows.
Reservation. We reserve all rights not expressly given.
10. Privacy and security
Our Privacy Policy explains how we handle personal information. We use reasonable administrative, technical, and organizational measures designed to protect Customer Content, described in the Data Processing Addendum. No system is completely secure, and we can't guarantee that Customer Content will never be accessed, lost, or disclosed without authorization.
If we become aware of a security incident that affects your Customer Content, we will notify you as the Data Processing Addendum describes.
11. Confidentiality
"Confidential Information" means non-public information that one party discloses to the other and that is marked confidential or would reasonably be understood to be confidential. Customer Content is your Confidential Information. It does not include information that is or becomes public through no fault of the recipient, was already known to it, is independently developed, or is lawfully received from a third party.
The recipient must use Confidential Information only to perform or exercise rights under these Terms, protect it with reasonable care, and not disclose it except to personnel and providers who need to know it and are bound to similar duties. The recipient may disclose it if the law requires, after giving notice where lawful. These duties last while the Terms are in effect and for three years afterward, and for as long as Customer Content stays in our systems.
12. Availability, support, and changes
We aim to keep the Service available, but we do not promise uninterrupted or error-free operation. We may perform maintenance and may suspend access. We do not offer a service level agreement, service credits, or guaranteed support response time unless we agree to one in writing.
Support is provided by email at hello@bosque.cc. We may add, change, or remove features. If we make a change that materially reduces core functionality you have paid for, we will give reasonable notice.
We may label some features as beta, preview, or experimental. They are provided as-is, may change or be removed, and may not be subject to the same commitments.
13. Term
These Terms apply from when you first use the Service and continue while you use it, until terminated under Section 14.
14. Suspension and termination
By you. You can stop using the Service and cancel your subscription at any time (see Section 4).
By us, for cause. We may suspend or terminate your access, a workspace, or these Terms if you materially breach them, do not pay when due, use the Service unlawfully or in violation of the Acceptable Use Policy, become insolvent, cease business, or create a security, operational, reputational, or legal risk for us, the Service, or others. Where reasonable and lawful, we will try to give notice and a chance to fix a curable problem first. We may suspend access immediately and without prior notice where needed to stop an ongoing security, abuse, legal, or operational problem.
By us, for convenience. We may stop offering all or part of the Service, or end your subscription, on reasonable notice where practicable. We may act sooner where required by law, a provider decision, security or operational risk, or circumstances outside our reasonable control. If we end a prepaid subscription for reasons other than your breach, we will refund prepaid fees allocable to the period after termination, unless the law permits otherwise.
What happens afterwards.
- Your access ends, or the workspace becomes read-only if the reason is non-payment or an ended trial.
- You are responsible for exporting Customer Content you need before termination. We may, but are not required to, make a post-termination export available where it remains technically and operationally feasible.
- We may delete Customer Content after termination from active systems and later from backups through our ordinary deletion and backup-rotation processes, unless the law requires or permits us to keep it. Once deleted, content cannot be recovered.
- Fees you owe remain due. Sections that by their nature should survive will do so, including Sections 5 (licenses to content already provided), 9, 11, 15 to 18, and this Section 14.
15. Disclaimers
The Service and everything we provide are offered "as is" and "as available", and you use them at your own risk. To the maximum extent the law allows, we and our affiliates, licensors, and suppliers disclaim all warranties, conditions, representations, and guarantees, whether express, implied, statutory, or collateral, including merchantability, satisfactory quality, fitness for a particular purpose, title, non-infringement, accuracy, and quiet enjoyment. We do not warrant that the Service will meet your requirements, achieve any result, preserve data without loss, be compatible with other systems, or be uninterrupted, secure, accurate, complete, or error-free. We do not warrant Customer Content, AI output, third-party content, or third-party services.
Some places do not allow certain disclaimers, so some of these may not apply to you.
16. Limitation of liability
To the maximum extent the law allows:
- Neither we nor our affiliates, licensors, or suppliers are liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, savings, business opportunity, goodwill, use, or data, or for business interruption or the cost of substitute services, even if told the damages were possible.
- Our total aggregate liability for all claims arising out of or relating to the Service, these Terms, and the incorporated policies is limited to the amount you paid us for the Service in the 12 months before the first event giving rise to liability. If you have not paid us anything, it is limited to US$100. This is a single cumulative cap, not a cap per claim or per document.
- These limits apply to all legal theories, whether in contract, tort (including negligence), strict liability, or otherwise, and even if a remedy fails of its essential purpose.
Nothing in these Terms limits liability that the law does not allow to be limited, including liability for fraud, wilful misconduct, or, where it applies, death or personal injury caused by negligence. You acknowledge that the prices reflect this allocation of risk.
17. Indemnification
You will defend, indemnify, and hold harmless us, our affiliates, licensors, suppliers, and our and their officers, directors, employees, contractors, and agents against any third-party claim, investigation, demand, or proceeding, and any resulting losses, damages, judgments, settlements, penalties, liabilities, costs, and expenses (including reasonable legal fees), arising from or relating to: (a) Customer Content, including its collection, instructions, use, disclosure, or the personal data in it; (b) your or your users' access to or use of the Service, integrations, public links, portals, or AI output; (c) your or your users' breach of these Terms or the Acceptable Use Policy; or (d) your or your users' violation of law or of another person's rights.
We will give you reasonably prompt notice of the claim, provided that delay does not relieve you except to the extent it materially prejudices the defense. You may control the defense with counsel reasonably acceptable to us. You may not settle a claim without our written consent if the settlement admits fault by us, imposes any obligation on us, or does not fully and unconditionally release us. We may participate with our own counsel at our expense and may take control if the claim could materially affect us beyond monetary liability. You will provide reasonable cooperation at your cost.
18. Governing law and disputes
These Terms and any dispute arising from them are governed by the laws of British Columbia and the federal laws of Canada applicable there, excluding any conflict-of-law rules that would apply other law. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
Informal resolution first. Before starting a formal proceeding, each party will send the other a written notice describing the dispute and will try in good faith to resolve it for at least 30 days.
Courts. If a dispute is not resolved, it will be brought exclusively in the courts located in Vancouver, British Columbia, Canada, and each party consents to their jurisdiction and venue. Either party may seek urgent injunctive relief in any court of competent jurisdiction to protect its intellectual property or Confidential Information.
19. Changes to these Terms
We may update these Terms. If a change materially reduces your contractual rights during a paid subscription, we will give advance notice where required by law or reasonably practicable, by email to workspace administrators, in the Service, or both. Changes may take effect immediately where needed for law, security, abuse prevention, provider requirements, or new or changed features that do not materially reduce existing paid rights. If you continue to use the Service after a change takes effect, you accept the updated Terms. If you do not agree, stop using the Service and cancel your subscription.
20. General
- Entire agreement. These Terms, with the policies they incorporate and any order form we both sign, are the entire agreement about the Service and replace earlier agreements about it.
- Order of documents. A written agreement signed by both parties overrides these Terms to the extent they conflict.
- Assignment. You may not assign these Terms without our written consent. We may assign them to an affiliate or in connection with a merger, acquisition, or sale of assets.
- No set-off. You may not withhold, reduce, or set off amounts you owe us against any amount you claim we owe you.
- Severability and waiver. If a provision is unenforceable, the rest remains in effect. A failure to enforce a provision is not a waiver.
- Force majeure. Neither party is liable for delay or failure caused by events beyond its reasonable control, except for payment obligations.
- Notices. We may send notices to the email address on your account or through the Service. You must send notices, including legal notices, to hello@bosque.cc. A notice is effective when received. This does not prevent formal service by another method the law permits.
- Export and sanctions. You may not use the Service in violation of applicable export controls or trade sanctions, or if you are on a restricted-party list.
- Relationship. We are independent contractors. There are no third-party beneficiaries.
- Electronic communications. You consent to receive notices and agreements electronically.
- Language. If these Terms are translated, the English version controls.
